1. INTRODUCTION
These Terms and Conditions (“Agreement”) govern your participation in the Vangels Expert Network (“Vangels Network”). By becoming a member, you agree to comply with these terms.
This Agreement supersedes any prior agreements between you and Vangels regarding your participation in the Vangels Network.
By signing this Agreement or participating in any Vangels engagements, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.
2. OVERVIEW OF VANGELS NETWORK
The Vangels Network is a global platform of industry professionals, consultants, and subject matter experts providing insights, advisory services, and consulting support to corporate clients, investment firms, startups, and business leaders.
As a Network Member (“Member”), you may be invited to participate in projects, including but not limited to:
- One-on-one or group consultations via phone, video, or in-person meetings
- Online surveys and research studies
- Advisory board memberships
- Speaking engagements, training, and workshops
- Written reports, industry analysis, or expert content contributions
Vangels reserves the right to approve, reject, or terminate any Member’s participation in the Network at its sole discretion.
3. MEMBERSHIP REQUIREMENTS
By joining the Vangels Network, you confirm:
- You are not restricted by any employment, consulting, confidentiality, or non-disclosure agreements that prohibit your participation.
- You have obtained all necessary approvals from your employer or any other relevant parties, if applicable.
- You will not disclose proprietary, confidential, or non-public information obtained from current or past employers or clients.
- You will act professionally and ethically in all interactions facilitated by Vangels.
- You are an independent contractor and not an employee, agent, or representative of Vangels or any Vangels clients.
CONFLICTS OF INTEREST
You must decline any project where a conflict of interest exists, including but not limited to:
- If you are currently employed by or serving as a director for a company involved in the project.
- If you possess material, non-public information that would restrict your participation.
- If participation violates any agreements, policies, or regulations applicable to you.
4. CONFIDENTIALITY AND INTELLECTUAL PROPERTY
4.1 Confidentiality Obligations
While participating in the Vangels Network, you may have access to confidential information, including but not limited to:
- Vangels’ proprietary business processes, network operations, and client details.
- Information shared by clients regarding their business strategies, financials, or operations.
- Any non-public market research or business intelligence obtained through your engagements.
YOU AGREE:
- Not to disclose, use, or retain any confidential information obtained through Vangels engagements.
- To take reasonable precautions to protect confidential information from unauthorized access or disclosure.
- To notify Vangels immediately if you become aware of any unauthorized disclosure or misuse of confidential information.
4.2 Intellectual Property
Any reports, deliverables, or written materials you create for a client through a Vangels engagement will become the intellectual property of that client, unless otherwise agreed.
You may not use, distribute, or claim ownership of any materials produced for or received from Vangels engagements.
Vangels retains all rights to branding, business processes, and proprietary tools used in its network operations.
5. PARTICIPATION GUIDELINES
By engaging in projects with Vangels, you agree:
- To provide accurate and honest insights based on your expertise.
- Not to provide investment advice or recommendations on securities or financial instruments.
- Not to give legal, medical, or financial advice unless specifically licensed and authorized to do so.
- Not to record, transcribe, or allow any unauthorized third party to join a consultation unless explicitly approved by Vangels.
Client Interactions
- You must never disclose confidential or proprietary information about your current or former employers.
- You must not solicit Vangels clients for separate consulting or business engagements without prior written approval.
You must report any inappropriate client behavior or unethical requests to Vangels immediately
6. PAYMENT TERMS
- Compensation: You will be compensated for completed engagements at rates agreed upon in advance.
- Payment Processing: Payments will be processed within 30 days upon submission of an invoice or as per the agreed terms.
- Disputes: If a client disputes your work quality or participation, Vangels reserves the right to withhold payment until the dispute is resolved.
- Taxes: You are responsible for reporting and paying any applicable taxes related to your earnings.
7. NON-SOLICITATION AND COMPETITION
For a period of one year following your last engagement through Vangels, you agree:
- Not to solicit or work directly with any Vangels clients introduced to you through the Network, unless Vangels provides written consent.
- Not to establish a competing network or consulting platform that directly targets Vangels’ clients or members.
- This restriction does not apply to engagements or relationships established independently before your participation in the Vangels Network.
8. COMPLIANCE AND LEGAL REQUIREMENTS
You must comply with all applicable laws and regulations, including anti-corruption laws such as the U.S. Foreign Corrupt Practices Act (FCPA) and UK Bribery Act.
You must not participate in any project that involves insider information or material non-public information.
If you become involved in any legal or regulatory matter that may affect your participation in Vangels, you must inform Vangels immediately.
9. TERMINATION AND MODIFICATION OF TERMS
9.1 Termination
Vangels reserves the right to:
- Terminate or suspend your membership at any time for violations of these Terms and Conditions.
- Restrict your participation in projects without prior notice.
- You may withdraw from the Vangels Network at any time by notifying Vangels in writing. However, any confidentiality, intellectual property, and non-solicitation obligations will survive termination.
9.2 Modifications
Vangels may modify these Terms and Conditions at any time. Members will be notified of significant changes. Continued participation in the Vangels Network constitutes acceptance of any updates
10.GOVERNING LAW AND DISPUTE RESOLUTION
- This Agreement is governed by the laws of Texas, USA.
- Any disputes will be resolved through binding arbitration in Texas.
You agree to waive the right to a jury trial or class-action lawsuit related to this Agreement.
11. ACCEPTANCE AND AGREEMENT
By signing below or participating in any Vangels engagement, you acknowledge that you have read, understood, and agreed to abide by these Terms and Conditions.
